Zoom Consulting Terms & Conditions

Please read these Terms and Conditions (“Agreement”) carefully before utilizing the consulting services provided by  TC OPTIMIZE LLC (“Consultant”). This Agreement sets forth the terms and conditions governing your engagement with the Consultant.

 

1. Services

Our Zoom Consulting offers highlight a private video conferencing (Zoom) session with Josie for the duration of your choice. Each package includes up to 30 minutes of off-screen time, allowing for reflection and processing of the session. Following our call, you will receive a follow-up email within 48 hours, summarizing the key points discussed and providing additional insights or recommendations.

As part of our commitment to your continued growth, we provide a curated list of resources with links to dive deeper into the topics covered during our Zoom session. These resources will help you explore the subject matter in more detail and expand your knowledge beyond the session.

Furthermore, for your convenience and reference, a link to view and/or download the recording of our Zoom session will be provided. This way, you can revisit the discussion at your own pace, ensuring that you don’t miss any valuable insights or information shared during our time together.

 

2. Payment and Invoicing

We offer flexible options for scheduling your Zoom sessions, with three available durations and corresponding rates. You can choose from the following session times: 30 minutes for $150, 1 hour for $250, and 2.5 hours for $500. Please select the duration that best suits your needs.

To secure your session, payment is required before the meeting is booked. When you proceed to payment, you will be redirected to the scheduling page to select a suitable time slot for your session. This streamlined process ensures a seamless booking experience for you.

Please note that any overage of time beyond the selected session duration will be invoiced separately. We will provide you with an additional invoice for the extra time based on the applicable hourly rate.

In the event that you miss a scheduled meeting without providing prior notice or rescheduling, a $50 fee will be deducted from your payment, and the remaining balance will be refunded. Alternatively, you have the option to pay the $50 fee to reschedule the meeting.

Refunds are allowed up to 3 business days before the scheduled meeting. If you wish to request a refund, please notify us within this timeframe, and we will process it accordingly.

We strive to ensure transparency and a fair process for both parties regarding payments, rescheduling, and refunds. Should you have any questions or require further clarification, please feel free to reach out to us.

 

3. Confidentiality

Both parties shall maintain the confidentiality of any confidential information shared during the course of this engagement. Confidential information includes proprietary business data, trade secrets, intellectual property, and any sensitive information disclosed by either party.

The Consultant shall not disclose any proprietary or confidential information of the Client to any third party without prior written consent. This ensures the protection of the Client’s confidential information and preserves the integrity of the consulting engagement.

 

4. Ownership of Work Product

Any work product or deliverables produced by the Consultant as part of the services shall be owned by the Client upon receipt of full payment. This ensures that the Client has full rights and ownership of any materials or outputs generated during the consulting engagement.

 

5. Termination

Either party may terminate this engagement with written notice provided to the other party. Termination may occur for various reasons, including project completion, changes in requirements, or unforeseen circumstances.

In the event of termination, the Client shall pay the Consultant for all services rendered up to the termination date. This ensures that the Consultant is compensated for the work completed and avoids any disputes regarding payment for services rendered.

 

6. Limitation of Liability

The Consultant’s liability arising out of this engagement shall be limited to the total fees paid by the Client under this Agreement. This clause establishes a cap on the Consultant’s liability, providing clarity and protecting both parties from excessive financial exposure in case of any unforeseen circumstances or disputes.

 

7. Independent Contractor Relationship

 The Consultant is an independent contractor and not an employee, partner, or agent of the Client. This clause clarifies the nature of the relationship between the parties, emphasizing that the Consultant operates as an independent business entity responsible for their own taxes, insurance, and other statutory obligations.

 

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United States. This ensures that the Agreement is interpreted and enforced according to the laws of the specified jurisdiction.

Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of the United States. By specifying the jurisdiction for resolving disputes, it provides clarity on where legal proceedings would take place if necessary.

 

9. Entire Agreement

This Agreement represents the complete and final understanding between the parties and supersedes any prior agreements or understandings, whether oral or written. It stands as the sole and comprehensive agreement governing the relationship between the parties. By accepting this Agreement, both parties acknowledge that any previous discussions, negotiations, or arrangements are null and void, and all terms and conditions are contained within this written Agreement. This clause ensures clarity and eliminates any potential confusion or misunderstandings that may arise from prior communications or agreements.

By utilizing the services provided by the Consultant, you acknowledge and agree to be bound by these Terms and Conditions. These terms serve to protect the interests of both parties involved and establish a clear framework for the consulting engagement.
